Terms of Service

These Terms of Service (“Terms”) govern your use of the Staffapp.ai platform and related services (the “Service”) provided by Assistiq Inc. (“Staffapp,” “we,” “us,” or “our”).

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Description of Service

Staffapp.ai is a workforce management platform that provides tools for employee scheduling and shift management, GPS-verified time clock, timesheet tracking and hours approval, payroll tracking and preparation, labor cost tracking, time-off request management, shift swap coordination, team communication (chat), AI-powered operations assistant, and employee and role management.

Important — Payroll Disclaimer

Staffapp provides payroll tracking and preparation tools only. We calculate hours worked, gross pay, deductions, and net pay based on data you enter. We do not process payroll payments, withhold or remit taxes, file tax forms (W-2, 1099, or otherwise), or act as a payroll provider. You are responsible for using a licensed payroll provider to process employee payments and comply with all applicable tax and employment laws.

Important — AI Assistant Disclaimer

The AI operations assistant provides informational summaries and general insights based on your organization’s data. It does not make employment decisions, approve or deny requests, or modify records. AI-generated information is provided for convenience and should be verified by the user before taking action. Staffapp is not responsible for decisions made based on AI assistant responses.

2. Account Registration and Organizations

To use the Service, you must create an account with a valid email address and provide accurate information. You are responsible for maintaining the security of your account credentials.

The Service is designed for use by businesses and organizations. When you create an organization on Staffapp, you become the organization’s owner.

Data Ownership: The organization retains ownership of all data entered into the Service. Organization administrators are responsible for the accuracy and legality of data they enter. Employee data entered by administrators is controlled by the organization.

You are responsible for all activity under your account and within your organization.

3. Acceptable Use

You agree not to use the Service to: violate any applicable law or third-party right; enter false or fraudulent information; interfere with or disrupt the Service; attempt to access data belonging to other organizations; use automated scripts or bots without written permission; reverse-engineer any part of the Service; harass or harm any individual; transmit malware or harmful code; or use the AI assistant to generate illegal or harmful content.

We reserve the right to suspend or terminate accounts that violate these Terms.

4. GPS Location Data

The Service includes GPS-verified clock-in and clock-out. When enabled by an organization administrator:

  • Employee location is collected at the moment of clock-in and clock-out.
  • Location data is used solely to verify the employee is at the designated worksite.
  • We do not continuously track employee location.
  • Organization administrators are responsible for informing employees that GPS verification is in use and for complying with applicable monitoring and privacy laws.

GPS Compliance Notice

Staffapp does not provide legal advice regarding employee monitoring. Organizations are responsible for ensuring their use of GPS features complies with applicable federal, state, and local laws.

5. Team Chat and Communications

The Service includes a messaging feature. By using team chat: you acknowledge that messages may be visible to other participants and to organization administrators; you agree not to use chat to send harassing, threatening, or illegal content; we do not monitor chat in real time but reserve the right to review content in response to abuse reports or legal requests.

6. AI Operations Assistant

The AI operations assistant provides informational responses based on your organization’s data.

  • The AI assistant is an informational tool and does not make decisions on your behalf.
  • AI-generated responses may contain inaccuracies. You are responsible for verifying information before taking action.
  • The AI assistant does not provide legal, financial, tax, or employment law advice.
  • Staffapp is not liable for any decisions made based on AI assistant responses, including scheduling decisions, staffing levels, compensation changes, or payroll preparation.
  • We may use anonymized interaction data to improve the assistant. We do not use your identifiable data to train models for other customers.

7. Payment Terms

The Service is offered under subscription plans as described on our pricing page. Prices are in U.S. dollars and subject to change with 30 days’ notice. Subscriptions are billed monthly or annually. All fees are non-refundable except as required by law.

We may offer a free trial. We will not charge you without explicit authorization. You are responsible for applicable taxes.

8. Intellectual Property

The Service is owned by Assistiq Inc. You retain ownership of all data you enter. By using the Service, you grant us a limited license to process your data to provide and improve the Service.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Staffapp does not guarantee the accuracy of payroll calculations, time tracking data, AI-generated insights, or any other data produced by the Service. The platform provides tools and estimates. The business is fully responsible for reviewing and verifying all data before taking action.

Staffapp is not responsible for payroll errors, tax miscalculations, missed tax filings, or any financial losses arising from the use of our payroll tracking and preparation features. You are solely responsible for verifying payroll data and using a licensed payroll provider to process payments.

Staffapp is not responsible for compliance with employment laws, including minimum wage laws, overtime regulations, break requirements, employee classification, or any other federal, state, or local labor laws.

Staffapp is not responsible for decisions made based on AI assistant responses. The AI assistant provides informational summaries only and does not constitute professional advice. Users must independently verify all critical information.

We do not guarantee that the Service will be available without interruption or error-free.

In no event shall our total liability exceed the amount you paid to Staffapp in the twelve (12) months preceding the claim.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.

10. Indemnification

You agree to indemnify and hold harmless Assistiq Inc. from any claims arising from: your use of the Service; violation of these Terms; violation of applicable laws; data you enter; and your organization’s employment practices, payroll processing, or tax compliance.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted or error-free access. We are not liable for losses resulting from unavailability.

12. Termination

You may cancel at any time via hello@staffapp.ai. Data is retained for 30 days after closure for export, then permanently deleted.

We may suspend or terminate accounts that violate these Terms, have overdue payments (15+ days), or pose a security risk.

13. Dispute Resolution

These Terms are governed by Florida law. Before filing any claim, you agree to attempt informal resolution for at least 30 days. If that fails, disputes will be resolved through binding arbitration under AAA rules in Florida. You waive the right to participate in any class action.

14. Modifications to Terms

We may update these Terms. We will update the “Last updated” date and notify administrators via email for significant changes. Continued use constitutes acceptance.

15. Miscellaneous

These Terms and our Privacy Policy constitute the entire agreement. If any provision is unenforceable, the rest remains in effect.
